Summary

Elon Musk's $56 billion pay package, originally from 2018, was recently re-approved by Tesla shareholders, a decision that also included the relocation of the company's incorporation from Delaware to Texas. This re-approval acts as a significant rebuke to a Delaware judge who had previously voided the initial agreement, reflecting broader corporate dissatisfaction with Delaware's legal environment. The pay structure, which involves stock options, was defended by David Friedberg as a superior model for CEO compensation that effectively aligns executive incentives with shareholder value, despite opposition from institutional investors like Calpers.

  • Elon Musk's record Tesla package will pay him tens of billions even ...

If Musk sells 1.2 million cars a year over the next decade, on average, he earns $8.2 billion in stock if Tesla's market value grows from $1.4 trillion today to $2 trillion in 2035, well under long-term market-average growth. He pointed out, however, that Tesla's value is already largely based on "future products that don't exist today." For Musk to claim the biggest payouts offered by Tesla's board, Goldstein said, "we're going to start having to see real products." Kevin Murphy, a University of Southern California finance professor and an expert witness for Tesla in defending Musk's 2018 pay package, acknowledged that the vehicle sales and $2 trillion valuation goals aren't "much of a stretch" but simply reaching those won't appease shareholders.

On Friday, Tesla announced in an SEC filing that the Company is proposing to grant its CEO Elon Musk an equity award that could make him a trillionaire. In light of the news, Equilar examined the key elements from Musk’s 2018 pay package and the latest award from Tesla, highlighting the differences in plan details and target performance goals. While the 2018 award asked Musk to raise Tesla’s market cap from $54 billion to $650 billion, the 2025 award will only vest in full if the Company’s market cap jumps from roughly $1 trillion to $8.5 trillion. However, with the 2025 award, Tesla and Musk entered into a voting agreement by which Musk will be able to vote with earned shares once milestones are achieved, regardless of whether the shares have vested or not.
